第八条  抵押权的实现及消灭

 

Article 8 Realization and Destruction of Mortgage Right

8.1 债务人 未依照主合同的约定履行债务或本合同约定的实现抵押权的条件成熟时,抵押权 人可以行使抵押权。抵押权 人行使抵押权时,抵押人 应当配合抵押权 人对抵押物进行拍卖、变卖或 经与抵押人协商折价抵偿抵押物所担保的债务抵押人不应设置障碍或拒绝抵押权人行使抵押权。

8.1 When the debtor fails to perform the debt under the agreement of master contract, or the condition of realizing mortgage right is mature which is specified by the Contract, the pledgee could perform mortgage right. When the pledgee performs mortgage right, the pledger shall cooperate with the pledgee to sale the collateral or sale the collateral by auction; or through the negotiation between the pledger and pledgee, the collateral shall offset the guaranty debt of the collateral by discount. The pledger shall not set obstacle, or refuse pledgee to perform mortgage right.

8.2 抵押人 在此不可撤销地声明,抵押权 人行使抵押权时,抵押权 人可以其自身名义代抵押人办理各项委托拍卖、变卖抵押物的手续,并签署相关合同,或直接变卖抵押物,无需抵 押人另行委托或授权。由此产 生的费用和责任由抵押人承担。

8.2 Hereby, the pledger makes irrevocable declaration that when the pledgee performs mortgage right, the pledgee can represent the pledger to deal with various procedures of auction entrustment, and sale of collateral, and sign related contract, or sell the collateral directly. The pledgee does not need to get additional entrustment or authorization from the pledger. The pledger shall take all the corresponding expenses and responsibilities.  

8.3抵押权 人对抵押物进行拍卖、变卖时应当遵循公平、等价、有偿的原则。

8.3 When the pledgee sells collateral or sells collateral by auction, the pledgee shall follow the principle of fairness, equivalence and compensation.

8.4抵押人 阻挠或拒绝抵押权人按上述约定行使抵押权的,抵押权 人可依法请求人民法院拍卖、变卖抵押物,并以拍卖、变卖所 得价款优先受偿。

8.4 If the pledger obstructs or refuses the pledgee to perform mortgage right by above mentioned agreement, the pledgee can ask the People’s Court to sell the collateral or sell the collateral by auction by law, and get the compensation first from the earnings of sales and auction.

8.5本合同 项下抵押权因所担保的债权的消灭而消灭。

8.5 The mortgage right under the Contract is eliminated along with the elimination of creditor’s rights under guaranty.

8.6本合同 项下抵押物灭失且无代偿物(包括但不限于:抵押物 的置换物替代物、赔偿金、补偿金、保险金)的,抵押杈消灭(本合同 另有约定的除外)

8.6 If the collateral under this Contract is destroyed without compensatory replacement (including but not limited to: replacement of collateral, substitute, compensation, compensatory payment, and insurance, etc.), the mortgage right is eliminated (unless there is additional agreement in the Contract).

第九条  被拒保 的主合同的变更

Article 9 Change of Master Contract with Declined Risks

9.1 如果主 合同业务并非开立信用证、进口押 汇等贸易融资业务,则抵押 人自愿确认并承诺:

9.1 If the business of master contract is not for opening L/C, import documentary credit and other trade financing business, the pledger is willing to confirm and make following commitment:

抵押权 人与债务人对被本合同所担保的主合同条款的任何变更,视为已 经事先征得抵押人的同意(不以书面形式为要件),抵押人的担保责任不因此而减免,但下列两种情形除外:

Any change on the clauses of the master contract between the pledgee and debtor for the guaranty of the Contract shall be regarded as approval of the pledger in advance (not restricted by the written form), the guaranty responsibility of the pledger is not relieved accordingly, unless under following two situations:

1)延长债务履行期限;

 (1) Extend the implementation period of the debt;

2)增加债权本金金额。

 (2) Increase the principal amount of creditor’s right;

9.2 如果主 合同项下的业务为开立信用证,进口押 汇等贸易融资业务,则抵押 人自愿确认并承诺:

9.2 If the business of master contract is for opening L/C, import documentary credit and other trade financing business, the pledger is willing to confirm and make following commitment:

债权人 和债务人对主合同条款进行修改时,无论是 否涉及到债务履行期限的延长或债权本金金额的增加或其他变更,均无须 征得抵押人同意,抵押人 对修改后的主合同仍按本合同约定继续承担最高额抵押担保责任;如本条款约定与第9.1条的约定不同,以本条款约定为准。

When the creditor and debtor revise the clauses of the master contract, no matter whether it involves with the extension of debt implementation period or increase of principal amount of creditor’s right or other change, it does not need to get the approval from the pledger. The pledger shall still take maximum amount mortgage guaranty responsibility for the revised master contract in accordance to the agreement of the Contract. If the agreement of this clause is different than Article 9.1, this clause shall prevail.

第十条  如主合同被确认无效,则抵押 人对于债务人因返还财产或赔偿损失及所应承担的费用而形成的全部债务仍承担连带赔偿责任。

Article 10 If the master contract is confirmed as invalid, the pledger shall still take joint compensation responsibility for all the debts which are formed due to property return or loss compensation, and corresponding expenses.  

第十一条  担保能力的保持

Article 11 Maintain Guaranty Capability

11.1签订本 合同之后至抵押权消灭期间内,如发生 下列任意一项情形,视为抵 押人的担保能力出现重大风险,抵押人 应在下列情形发生前或发生后7日内以 书面方式通知债权人并提供相关资料,债权人 亦有权主动要求抵押人进行书面说明及/或提供相关资料。

11.1 From signing the Contract to the destruction of mortgage right, under one of the following circumstances, it will be regarded as major risk of guaranty capability of the pledger. The pledger shall inform the creditor in written form before or within 7 days after the occurrence of the following circumstances and provide related material. The creditor also has the right to require the pledger to make written form explanation and/or provide related material.

11.1.1 抵押物 发生以下任意一项情形的:

11.1.1 The occurrence of any following situation on the collateral:

1)抵押物 发生灭失或被侵占的;

 (1) The collateral is destroyed or embezzled;

2)抵押物 发生重大毁损的;(注:关于重大的标准,由抵押权人自主判断。)

 (2) Serious damage on collateral; (remarks: for the standard of “serious damage”, it shall be judged by the pledgee)

3)抵押物 被国家有权机关查封或被采取其他限制措施的;

 (3) The collateral is sealed or other restriction measures are taken on the collateral by national authority;

4)发生与 抵押物有关的争议、诉讼、仲裁的;

 (4) The occurrence of related dispute, lawsuit and arbitration of the collateral;

5)抵押物的代偿物(包括但不限于:抵押物的置换物、替代物、赔偿金、补偿金、保险金)被查封、冻结、扣划的;或就上 述抵押物的代偿物发生争议诉讼、仲裁的。

 (5) The compensatory replacement of the collateral (including but not limited to: replacement of collateral, substitute, compensation, compensatory payment, and insurance, etc.) is sealed, frozen, and deducted; or there is dispute, lawsuit, and arbitration on above mentioned compensatory replacement of the collateral.

6)第三人 要求分割抵押物或抵押物的代偿物,或对抵押物/抵押物 的代偿物提出权利主张的;

 (6) The third party requires dividing the collateral or compensatory replacement of the collateral, or claims for the rights of collateral/compensatory replacement of the collateral;

7)发生本合同第6.3条所述 之任意一项情形的;

 (7) The occurrence of any mentioned situation under Article 6.3 of the Contract;

8)发生其 他导致或可能影响抵押物安全、或导致 抵押物价值降低的情形的。

 (8) The occurrence of other situation which leads to or may influence the safety of the collateral, or leads to the depreciation of the collateral.

11.1.2 抵押人 自身发生以下任意一项情形的:

11.1.2 The occurrence of any following situation on the pledger:

1)抵押人被取消或注销、吊销、降低经营(从业)资格、资质;停业整顿、债务重组、解散、申请破产、破产、关闭的;兼并、分立的。

 (1) The business (operation) qualification, capability of the pledger is abolished or canceled or revoked; the pledger stops business for internal rectification; makes debt reconstructing, dissolution; applies for bankruptcy; goes bankrupt; closes business; makes merger and separation.  

2)抵押人 涉嫌刑事犯罪的;或抵押 人的法定代表人、主要负 责人因其对公司的经营、运作、管理而 涉嫌刑事犯罪的;

 (2) The pledger is suspected of being involved in criminal offence; or the legal representative or principal of the pledger is suspected of being involved in criminal offence due to his operation and management of the company;

3)抵押人 已经或可能面临重大诉讼、仲裁;

 (3) The pledger is facing or may face significant lawsuit and arbitration;

4)抵押人发生其他丧失、降低或可能丧失、降低担保能力情形的。

 (4) The pledger loses, reduces or may lose and reduce his guaranty capability;

(注:关于主要重大大额明显低价的标准,均由债权人自主判断。)

 (Remarks: the standard of “major”, “significant”, “big amount”, “obvious low price” shall be judged by the creditor)

11.2 出现本合同第11.1条约定 之任意一项情形时,无论抵 押人是否履行了及时通知义务,抵押权 人有权要求抵押人提供新的担保或变更担保方式,若抵押 人不能提供令抵押权人满意的新的担保或新的担保方式,抵押权 人有权要求债务人提前还贷以及要求抵押人提前履行担保责任。

11.2 During the occurrence of any situation which is specified in Article 11.1 of the Contract, no matter whether the pledger has performed the obligation of informing the pledgee in time, the pledgee has the right to require the pledger to submit new guaranty or change guaranty type. If the pledger cannot provide satisfactory new guaranty or new guaranty type to the pledgee, the pledgee has the right to require the debtor to pay off the loan in advance and require the pledger to perform guaranty responsibility in advance.

11.3 本合同 项下抵押物的价值大于所担保的债权余额的,在事先 征得抵押权人书面同意后可以再次抵押,但再次 抵押所担保债权的金额不得超出本次抵押评估价值余额部分。

11.3 If the value of the collateral under the contract is more than the rest creditor’s rights under guaranty, the pledge can remortgage the collateral after getting the written form approval from the pledgee. However, the guaranty amount of creditor’s right for remortgage shall not exceed the rest mortgage evaluation value of this time.

11.4 抵押人 对抵押物价值减少无过错的,应当在 所获得赔偿的范围内立即向抵押权人提前清偿所担保的债务。抵押物 价值未减少的部分,仍作为抵押财产。

11.4 If the pledger is blameless for the depreciation of the collateral, the pledger shall pay off the guaranty debt to the pledgee in advance at once within the compensation scope. For the part without the depreciation of the collateral, it can be still used as mortgage property.

 

第十二条  提前履行担保责任

Article 12 Perform the guarantee liability in advance

12.1 出现下列情形之一,抵押权 人有杈要求抵押人提前履行担保责任:

12.1Under any of the following circumstances, the mortgagee shall have the right to require the mortgagor to perform the guarantee liability in advance:

1)根据主合同的约定,抵押权 人提前收回借款本金,或/并划收借款本金利息、罚息、复息、违约金、损害赔 偿金及实现债权的费用;

(1) In accordance with the agreement of principal contract, the mortgagee recovers the principal of loan in advance, or/and collect the principal, interest, penalty interest, compound interest, liquidated damages, damages compensation and the cost of realizing creditor’s right.

2)出现本合同第11.1条所列之任意情形、且抵押 人不能提供令抵押权人满意的新的担保的;

(2) Any circumstance set out in Article 11.1 of this contract and the mortgagor is unable to provide a new satisfactory guarantee to the mortgagee;

3)本合同中另有约定的。

(3) Otherwise agreed in this contract

12.2 抵押权 人要求抵押人提前履行担保责任的,抵押人 应在接到抵押权人的书面要求后三日内履行担保责任。

12.2 If the mortgagee requests the mortgagor to perform the guarantee liability in advance, the mortgagor shall take it within three days after receiving the written request of the mortgagee.

第十三条 其他约定

Article 13  Other agreements

13.1 抵押人申明:在本合同签署前,抵押人 已自行对债务人各方面的情况(包括但不限于:债务人的资信情况、借款用途、还款能力、其他担保情况等)以及与 主合同及本合同有关的各方面情况做了详细了解;已无需 债权人向其提供任何资料、亦无需 债权人向其告知、提示任何信息;其为债 务人提供本合同项下的担保完全出自自愿,本合同 项下的全部意思表示真实、完整;并且,抵押人 已经充分认识主合同中可能存在的风险,包括但不限于:利率风险、债务人 还款能力风险等,且抵押 人自愿承担上述风险。

13.1 The mortgagor declares that: Prior to signing this contract, the mortgagor has made a detailed understanding of the debtor from all respects (including but not limited to: the debtor's credit situation, the purpose of the loan, the ability to repay the loan and other conditions of guarantee, etc.), and aspects relating to the principal contract and this contract; there is no need for the creditor to provide him with any information or remind or inform him of any information; the guaranty provided by him for the debtor under this contract is completely voluntary and the full meaning of this contract is true and complete; moreover, the mortgagor is fully aware of the possible risks in the principal contract, including but not limited to: risk of interest rate, risk of the debtor's ability to repay etc., and the mortgagor is willing to take the risks stated in above.

13.2 因签订和履行本合同,所发生的律师费、保险费、评估费、登记费、保管费、鉴定费、公证费、诉讼费、仲裁费、公告费、测量费、契税、印花税、拍卖费、执行费、产权过 户费等相关费用由抵押人承担,但法律 法规明确规定应由抵押权人承担的除外。

13.2 The expenditures due to sign and perform this contract, such as the lawyer's fee, insurance premium, assessment fee, registration fee, custodian fee, appraisal fee, notarization fee, litigation fee, arbitration fee, bulletin fee, measurement fee, deed tax, stamp duty, auction fee, execution fee, property right transfer fee these related expenses shall be borne by the mortgagor, except that expressly stipulated by laws and regulations.

13.3 债权人 有权通过在公众媒体上以公告的方式对债务人、抵押人进行催收。

13.3 The creditor shall have the right to collect from the debtor and the mortgagor by the way of public announcement in the public media.

13.4 对本合 同的任何变更均应由抵押权人与抵押人共同以书面形式作出。抵押权 人给予抵押人的任何宽容、宽限、优惠、或延缓、或对本 合同项下任何权利的未予行使,在债权 人没有以书面形式明确表示放弃的情形下,均不视 为抵押权人对本合同项下任何权利、权益的放弃,也不能 免除抵押人在本合同项下应承担的任何义务。

13.4 Any change of this contract shall be made by the mortgagee and the mortgagor in written forms. Any tolerance, relief, preferential treatment or delay granted by the mortgagee to the mortgagor or any right failed to execute under this contract, under the circumstance that the creditor does not expressly give up in written forms, neither will be seen as the mortgagee waive any right and interest under this contract, nor exempt from any obligation which shall be taken by mortgagor.

13.5 本合同 中涉及选择的事项,由抵押 权人行使选择权。

13.5Concerning matters of choice in this contract, the mortgagee shall exercise the option right.

13.6 抵押人信息的使用

13.6 The use of mortgagor’s information

抵押人 同意债权人向中国人民银行及信贷征信主管部门批准建立的信用数据库或有关单位、部门查 询抵押人的信用状况,并同意 债权人将抵押人信息提供给中国人民银行及信贷征信主管部门批准建立的信用数据库。抵押人并同意,债权人 为业务需要也可以合理使用并披露抵押人信息。

The mortgagor agrees that the creditor can check the credit status of the mortgagor from the credit database approved by the People's Bank of China and the competent credit investigation department, and agrees that the creditor can provide the mortgagor’s information to the credit database approved by the people's bank of China and the competent credit investigation department. The mortgagor agrees that the creditor can reasonably use and disclose the mortgagor's information for business purposes as well.

13.7 关于送达地址的约定

13.7 An agreement on the address for service

13.7.1 抵押人确认:在第一 部分本合同当事人处填写的信息准确、完整、无误,抵押权 人发出的任何通知,均可采用邮寄、电话、传真、电子邮件、短信、微信、其他通 讯软件等上述约定的任何一种方式进行。

13.7.1 The mortgagor confirms: the party’s information filled in the first part of this contract is accurate, complete and correct, and any all of notices of the mortgagee can be sent by mail, telephone, fax, E-mail, SMS, Wechat and other communication software etc. any kind of the way above.

采用电话、传真、电子邮件、短信、微信、其他通 讯软件中任何一种方式的,一经发出,即视为有效送达;采用邮寄方式的,在通过 快递投邮三日后或通过挂号信投邮后七日后,即视为有效送达。

If used in any of the methods such as telephone, fax, E-mail, SMS, WeChat or other communication software, once it is sent, it shall be deemed to have been delivered effectively. If sent by post, it shall be deemed to have been delivered effectively three days after posting by express delivery or seven days after posting by registered mail.

如送达 时因送达地址有误、无人接收、或其他 不属于抵押权人的原因被退件或遗失的,仍然视为有效送达。

If it is returned or lost due to the wrong address, unaccepted or other reasons that are not attributable to the mortgagee, it shall still be deemed as valid.

在清偿 完对贷款人的全部债务(包括但不限于:直接债务、或有债务、其他任何形式的债务)、并履行 完对贷款人的全部责任及义务之前,如变更 上述联系方式中的任何一种,借款人应在变更后3个工作 日内以书面方式通知抵押权人。否则,本合同 当事人处所列任何一项联系方式将长期有效。因未及 时通知产生的一切不利后果,抵押人 均自愿自行承担,包括但不限于:按原有 联系方式进行送达的,即仍然视为有效送达;如送达 后因送达地址无效、无人接收、或其他 不属于抵押权人的原因被退件或遗失的,仍然视为有效送达。

After paying off all debts to the mortgagee (including but not limited to: direct debt, contingent liabilities, any other forms of debt), and before fulfilling full responsibility and obligation to the mortgagee, if the borrower needs to change any one of the contact information above, he shall inform of it to the mortgagee in written forms within three working days after being changed. Otherwise, any of the contact information listed in this contract shall be valid for a long time. Any adverse consequences arising from failing to inform timely, the mortgagor shall bear voluntarily including but not limited to: if sent in accordance with the original contact, it shall still be deemed to have been delivered effectively; if it is returned or lost due to the wrong address, unaccepted or other reasons that are not attributable to the mortgagee, it shall still be deemed as valid.

13.7.2 抵押人完全理解:在通过邮寄、电话、传真、电子邮件、短信、微信、其他通 讯软件等方式进行联系时,有可能 由于通讯运营商的原因、不可抗力、或其他第三方原因,而导致 抵押人的信息或资料泄密。抵押人 对此无任何异议,并同意 自行承担由此产生的一切风险和损失。

13.7.2 The mortgager fully understands: Contacting by mail, telephone, fax, E-mail, SMS, WeChat and other communication software may lead to the disclosure of mortgager’s information or materials caused by telecommunication operators, force majeure or other third parties, and the mortgager has no objection and agrees to bear all risks and losses arising from it.

13.7.3 抵押人完全同意:如果双方发生诉讼、仲裁、公证、执行纠纷,抵押权 人有权将本合同作为证据提交法院/仲裁/公证机构,并以本 合同当事人处所列联系地址,作为在诉讼阶段/仲裁阶段/公证阶段/执行阶段,法院/仲裁/公证机 构向借款人送达诉讼/仲裁/公证/执行文 书的有效送达地址;并以本 合同当事人处所列任意一项联系方式,作为在诉讼阶段/仲裁阶段/公证阶段/执行阶段,法院/仲裁/公证机 构与抵押人联系的有效方式。

13.7.3 The mortgager totally agrees: if litigation, arbitration, notarization or executive dispute happens to both parties, the mortgagee shall have the right to submit this contract as the evidence to the court/arbitration/notary institution, and list the parties’ residence as the contact address to be the valid delivery address during litigation/arbitration/notarization/execution phase and the court/arbitration/notarized institution send litigation to the borrower / arbitration / notarization; And list any contract information of the parties in this contract as the valid method during the litigation/arbitration/notarization/execution phase, and communication between the court/arbitration/ notarized institutions and the mortgager.

13.8 如果本 合同有两种或两种以上文字的,文字及 解释均以汉语为准。

13.8 If this contract is made in two or more kinds of languages, the Chinese language shall prevail.

13.9 其他约定:(见专用条款第三条)。

13.9 Other agreement: (See the Article 3 of the Particular Clauses)

第十四条  法律适用及争议解决

Article 14 Application of law and dispute resolution

14.1 本合同 及本合同的履行适用中华人民共和国法律。

14.1 This contract and its performance shall be applied to the laws of the People's Republic of China.

14.2 争议解决的特别约定:(见专用条款第四条)。

14.2 Special agreements on the settlement of disputes: (See the Article 4 of the Particular Clauses)

14.3 协商解决争议或诉讼、仲裁解决争议期间,本合同 约定中未涉及争议的事项或条款应得到抵押人、抵押权人的完全、充分、适当履行。

14.3 During the settlement of disputes through negotiation, litigation or arbitration, the matters or terms that are not covered in the agreement shall be completely fully and properly performed by the mortgagor and the mortgagee.
