第六条  抵押人承诺

Article 6 Pledger’s Commitment

6.1 抵押人 有义务配合抵押权人进行贷前调查、贷中审查和贷后检查,并如实 提供包括但不限于下列文件资料:

6.1 The pledger has the obligation to cooperate with the pledgee for investigation before releasing loan, review during loan utilization, and inspection after releasing loan. In the meantime, the pledger shall provide following documents truthfully, including but not limited to:  

1)营业执照或法人证书、经营业务许可证、组织机构代码证、税务登记证、贷款证(卡)、抵押物权属证明文件;

(1) Business license or certificate of legal person, operation license, organization code certificate, tax registration certificate, loan certificate (card), collateral ownership certificate;

2)签订本 合同之前及之后至抵押权消灭,抵押人 与他人及债务人之间的债权、债务的 情况及相关资料;

 (2) Creditor’s rights, debt situation and related material among the pledger, the other people and debtor before and after signing the Contract till the destruction of mortgage right;

3)签订本 合同之前及之后至抵押权消灭,抵押人 面临或即将面临的诉讼、仲裁、劳务仲 裁及面临或即将面临行政处罚、行政听 证等情况及相关资料;

 (3) Situation and related material of the pledger for facing or about to face lawsuit, arbitration, labor arbitration, and facing or about to face administrative punishment, and administrative evidential hearing before and after signing the Contract till the destruction of mortgage right;

4)抵押权 人要求抵押人提供的其他情况及相关资料。

 (4) Other situation and related material of the pledger which are required by the pledgee;

6.2 签订本 合同之后至抵押权消灭期间内,如发生 下列任意一项情形,抵押权 人有权要求抵押人立即提供相关资料并予以书面说明,抵押人应予以配合。其中,对于下述第(1)项所述之情形,确定视 为对抵押人的担保能力构成重大风险;对于下述第(2)至第(5)项所述之情形,抵押权 人有权根据自身判断,确定是 否对抵押人的担保能力构成重大风险,并以此 决定是否要求抵押人变更担保方式、提供新 的担保或提前履行担保责任:

 6.2 From signing the Contract to the destruction of mortgage right, under one of the following circumstances, the pledgee has the right to require the pledger to provide related material at once and make written form explanation. The pledger shall cooperate with the pledgee. Among the following circumstances, for the following situation (1), it is regarded as major risk for the guaranty capacity of the pledger; for the following situation (2)-(5), the pledgee has the right to confirm whether it forms major risk for the guaranty capacity of the pledger by own judgement; and decide whether the pledger shall change guaranty type and provide new guaranty or perform guaranty responsibility in advance:

1)抵押人发生本合同第11.1条规定 之任意一项情形的;

 (1) The pledger has one of the situations under the regulation of Article 11.1 in the Contract;

2)抵押人 发生以下任意一项情形的:

 (2) The pledger has one of the following situations:

① 企业(单位)的工商、税务、金融、质量技术监督、不动产、特殊动产、经营(从业)资格(资质)、海关、法定代表人(负责人)及实际 控制人出入境等法定登记事项及变更;

① Legal registration and change of enterprise (unit)industry and commerce, tax affairs, finance, quality technology supervision, rea estate, special movables, business (operation) qualification (capability), Custom; and the legal representative (responsible person) and actual controlling person enter and leave the country;

② 企业(单位)改制、改变企业(单位)形式;

②The enterprise (unit) restructures, or changes the form of the enterprise (unit);

③ 企业(单位/公司)承包经营、租赁经营、或托管的;

③The enterprise (unit/company) contracts operation, makes leasing management, or under trusteeship;

④ 抵押人 减少注册资本的;

④The pledger reduces registered capital;

⑤ 抵押人的主要财产(包括但不限于:不动产、生产机器设备、银行存款、股权、或其他财产权利)被冻结、查封、扣划、拍卖、抵债、毁损、灭失的;

⑤ The main property of the pledger (including but not limited to: real estate, production machinery and equipment, bank deposit, stock right, or other property right) is frozen, sealed, deducted, sold by auction, offset for debt, damaged, and destroyed;

⑥ 抵押人 向第三人赠予财产或以明显低价处置财产的。

⑥The pledger donates the property to the third party or disposes the property by obvious low price;

3)涉及本 合同履行的事项及变更;

 (3) Related issues and change for the implementation of the Contract;

4)已经或 需要约定或指定的联系人、联系方式、地址、电话号码、电子邮箱、银行账 号等事项及变更;

 (4) Change of existing contact person, contact method, address, phone number, email, and bank account and other issues, or which shall be specified or appointed.

5)发生抵 押权人认为有必要了解的其他情形的。

 (5) The occurrence of other situation which the pledgee thinks that it is necessary to know.

6.3 签订本 合同之后至抵押权消灭期间内,如果发 生以下任意一项情形,抵押人 必须在下列情形发生前或发生后7日内以 书面方式通知债权人,并征得 债权人同意后方可实施:

6.3 From signing the Contract to the destruction of mortgage right, under one of the following circumstances, the pledger must inform the creditor in written form before or within 7 days after the occurrence of the following circumstances, and make implementation after getting the approval from the creditor:

1)抵押人 出租抵押物的全部或部分的,或抵押 物的出租状态改变的;

 (1) The pledger rents out the whole or partial collateral, or changes the leasing status of the collateral;

2)抵押人 转让抵押物的全部或部分的;

 (2) The pledger transfers the whole or partial collateral;

3)抵押人 将抵押物的全部或部分再行抵押的;

 (3) The pledger makes remortgage for the whole or partial collateral;

4)抵押人 在抵押物上实施工程建设的(包括但不限于:新建、拆除、拆建、改建)、或对抵押物进行装修、装饰、添附的;

 (4) The pledger carries out engineering construction (including but not limited to new building, demolition, removal and construction, and reconstruction) on the collateral, or make decoration and accretion on the collateral;

5)抵押物被承包经营、租赁经营、托管的;

 (5) The collateral is under contract operation, leasing management and trusteeship;

6)抵押人 将抵押物的保险赔偿金用于恢复抵押物的价值、或用于 除清偿本合同项下担保债务以外的其他用途的。

(6) The pledger uses the insurance compensation of the collateral for recovering the collateral value, or for the other purpose other than paying off the guaranty debt under the Contract.

6.4 因国家 建设需要征收征用本合同项下抵押物时,所获征 用补偿金立即向抵押权人提前清偿所担保的债务。

6.4 When the collateral under the Contract is collected due to the demand of national construction, the collection compensation shall be used for paying off the guaranty debt to the pledgee in advance at once.

6.5 以在建 工程为抵押物进行担保的,在满足 登记机关抵押登记的要求后,抵押人 应及时主动到抵押登记机关重新办理房产证抵押登记手续。

6.5 For the guaranty by the collateral of project under construction, after meeting the mortgage registration requirement of the registration authority, the pledger shall go to the mortgage registration authority and go through the mortgage registration procedures of property ownership certificate again in time actively.

6.6 当债务 人未按主合同约定履行债务时,无论抵 押权人对主合同项下债权是否拥有其他形式的担保(包括但不限于保证、抵押、质押、保函、备用信用证、保证金等担保方式),抵押权 人均有权直接要求抵押人在本合同约定的担保范围、责任内 承担全部担保责任,且抵押 人承认债权人有优先选择任何一种或同时选择几种担保权实现自身债权的权利。

6.6 When the debtor fails to perform specified debt by the agreement of the master contract, no matter whether the pledgee has other guaranty (including but not limited to guarantee, mortgage, pledge, letter of insurance, backup letter of credit, cash deposit and other guaranty type) in other form for the creditor’s rights under the master contract, the pledgee has the right to require the pledger to take all guaranty responsibilities directly within the specified guaranty scope and responsibilities under the agreement of the Contract; in the meantime, the pledger admits that the pledgee has the priority for selecting any guaranty or multiple guaranty types at the same time for realizing its own creditor’s rights.

6.7 抵押物 因抵押人保管不善或其他属于抵押人的原因,造成抵押物灭失、损毁的,因此所得的代偿物(包括但不限于:抵押物的置换物、替代物、赔偿金、补偿金、保险金等)应当全 部作为抵押财产立即向抵押权人提前清偿所担保的债务。若上述 代偿物不足以清偿或担保全部债务,则抵押 人对债务余额承担连带保证担保责任。

6.7 If the collateral is destroyed or damaged due to the improper storage of the pledger or the reason of pledger, all the corresponding compensatory replacement (including but not limited to: replacement of collateral, substitute, compensation, compensatory payment, and insurance, etc.) shall be used as mortgaged assets for paying off guaranty debt to the pledgee in advance at once. If above mentioned compensatory replacement is not enough to pay off or guarantee all the debts, the pledger shall take joint guarantee responsibility for the rest debt.

6.8 依法可 能影响本合同生效的,抵押人自身的审批、审查、决议、决定、财产共 有人认可均已履行完毕,且符合法律、行政法规、规章的要求。

6.8 For the matters which may influence the validity of the Contract by law, the pledger has finished the inspection, review, resolution, decision, approval of property co-owner; meanwhile, the pledger conforms to the requirement of law, administration regulation and rules.

6.9 抵押人承诺:抵押人 将负责严格监督债务人按主合同约定的用途使用借款;如债务 人未按主合同约定的用途使用借款,无论系和等原因所致,抵押人 皆不得以此为由要求免除或减轻担保责任,且债权 人有权要求提前实现抵押权。

6.9 The pledger promises: the pledger will supervise the debtor strictly to use the loan by the purpose which is specified in the master contract; if the debtor fails to use the loan by the purpose which is specified in the master contract, no matter what kind of reason might be, the pledger is not allowed to require exemption or relieve guaranty responsibility by this excuse; in the meantime, the pledgee has the right to require the realization of mortgage right in advance.

6.10 如果主 合同项下的业务为开立信用证业务和/或进口 押汇业务等贸易融资业务,则抵押人承诺:

6.10 If the business under the master contract is for opening letter of credit and/or import bill of exchange service and other trade finance business, then the pledger promises:

6.10.1 在开立信用证业务和/或进口押汇业务项下,一旦出 现以下任意一项情形,抵押人 均负有不可抗辩之担保义务,此项义 务不因司法当局或行政当局对该信用证项下之付款发布止付令、禁止令 或针对与该信用证有关的财产采取查封、扣押、冻结措 施或类似措施而免责或抗辩。

6.10.1 For opening letter of credit and/or import bill of exchange service, once one of the following situations occurs, the pledger shall have incontestable guaranty obligation. This kind of obligation shall not be exempted from responsibility or defensed due to the stop-payment order for the payment under the letter of credit, restraining order, or measures for sealing up, detaining, and freezing the related property of the letter of credit or similar measures from the judicial authority or administrative authority.

1)债权人的指定人、授权人 已按照债权人的指令进行了付款;

 (1) The appointed person, and authorized person of the creditor has made payment in accordance to the command of the creditor;

2)债权人或者其指定人、授权人 已对信用证项下的票据作出了承兑;

 (2) The creditor or its appointed person and authorized person have accepted the bills under the L/C;

3)信用证 的保兑行履行了付款义务;

 (3) The confirming bank of the L/C has performed payment obligation;

4)信用证 议付行进行了议付。

 (4) The negotiating bank of the L/C has made negotiated payment.

6.10.2 抵押人 承诺其已完全了解主合同贸易融资(如有)的实际用途;并已通 过自己的调查了解,确认融 资所依据的基础交易真实、不存在欺诈。

6.10.2 The pledger promises that he has fully understood the actual purpose of trade financing of the master contract (if any), and confirms that the basic transaction for financing is real without fraud through his own investigation.

6.11 抵押人 违反本合同项下任意一项承诺的,抵押权 人有权分别或同时行使下列一项或几项权利:

6.11 If the pledger violates any commitment under the Contract, the pledgee has the right to perform one or multiple following rights separately or at the same time:

1)要求抵押人纠正;

 (1) Require the pledger to make correction;

2)要求抵 押人继续履行承诺;

 (2) Require the pledger to keep performing commitment;

3)要求抵 押人追加提供或重新提供担保物;

 (3) Require the pledger to make additional collateral or provide collateral again;

4)提前实现抵押权。

 (4) Realize mortgage right in advance;

第七条  债务人申明

Article 7 Declaration of Debtor

债务人申明:对本合 同项下的各项约定均无异议,并同意配合债权人、抵押人 履行与债务人相关的各项义务。

Declaration of debtor: I do not have any objection for the agreement under this Contract, and agree to cooperate with the creditor and pledger to perform all the related obligations of the debtor.
